1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website located at redlinecoachingwa.com (the "Site") and any coaching, consulting, or related services ("Services") provided by Redline Coaching and Consulting ("Redline," "we," "us," or "our"). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our Services.
2. Services
Redline provides business coaching, executive coaching, leadership development, industry consulting, and life coaching to individuals and organizations. The scope, deliverables, fees, and duration of any specific engagement will be set out in a separate written agreement (such as a Statement of Work or Coaching Agreement) between you and Redline. In the event of a conflict between these Terms and a separate engagement agreement, the engagement agreement controls.
3. No Professional Advice
Our Services are educational and advisory in nature. We do not provide legal, accounting, tax, medical, mental health, or financial advice. You are solely responsible for decisions you make in your business and personal life. You should consult appropriately licensed professionals for matters requiring professional advice.
4. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Site or engage our Services.
5. Contact Information You Provide
When you contact us, request a consultation, fill out a form on the Site, or otherwise engage with us, you may provide personal information including your name, email address, phone number, and details about your business or goals. By providing this information you consent to our collection, storage, and use of it as described in our Privacy Policy.
6. Phone Numbers, SMS Messaging, and A2P 10DLC Consent
If you provide your phone number, you agree that Redline (and its authorized service providers, including Twilio, Inc., which we use as our communications platform) may contact you by phone call or SMS text message for purposes including, but not limited to:
- Confirming or rescheduling appointments and consultations;
- Responding to inquiries you submit through the Site or by email;
- Sending coaching-related communications during an active engagement; and
- If you have separately opted in, sending occasional marketing or promotional messages.
Express written consent. By submitting your phone number through a form on this Site that includes an opt-in checkbox or other clear consent mechanism, you provide your prior express written consent under the Telephone Consumer Protection Act (TCPA) and applicable state law to receive calls and SMS messages from Redline at the phone number provided, including through the use of automatic telephone dialing systems and prerecorded or artificial voice messages. Consent is not a condition of purchasing any goods or services.
A2P 10DLC (Application-to-Person 10-Digit Long Code). Redline uses Twilio's A2P 10DLC platform to send SMS communications in the United States. In accordance with carrier and CTIA requirements:
- Message frequency varies based on the purpose (e.g., appointment confirmations are sent as needed; marketing messages are limited to no more than a few per month).
- Message and data rates may apply from your wireless carrier.
- Opt-out: You may opt out of SMS communications at any time by replying STOP to any message. You will receive a one-time confirmation that you have been unsubscribed.
- Help: Reply HELP to any message for assistance, or email chris@redlinecoachingwa.com.
- Supported carriers: SMS messaging is supported on major U.S. carriers. Carriers are not liable for delayed or undelivered messages.
- Mobile information sharing: Mobile phone numbers and the contents of SMS opt-in consent will not be shared with third parties or affiliates for marketing or promotional purposes.
7. Fees and Payment
Fees for Services are set out in your engagement agreement. Unless otherwise stated, fees are non-refundable once Services have been rendered. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
8. Intellectual Property
All content on the Site — including text, graphics, logos, and the Redline name — is the property of Redline Coaching and Consulting or its licensors and is protected by copyright, trademark, and other laws. You may not copy, reproduce, distribute, or create derivative works from any Site content without our prior written permission.
Materials, frameworks, and resources delivered to you as part of an engagement are licensed to you for your personal or internal business use only and may not be resold, redistributed, or used to train AI models without our prior written consent.
9. Confidentiality
We treat information you share during coaching engagements as confidential and will not disclose it except as required by law, with your consent, or as necessary to deliver the Services. Likewise, you agree to keep confidential any proprietary frameworks, tools, or materials we share with you.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY SPECIFIC FINANCIAL, BUSINESS, OR PERSONAL RESULT FROM USE OF OUR SERVICES. INDIVIDUAL RESULTS DEPEND ON YOUR EFFORT, CIRCUMSTANCES, AND OTHER FACTORS OUTSIDE OUR CONTROL.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDLINE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO REDLINE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL REDLINE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
12. Indemnification
You agree to indemnify and hold harmless Redline and its owners, employees, and contractors from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Services or breach of these Terms.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Washington State, and you consent to personal jurisdiction in those courts.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
